Please read these Terms of Service (“Terms”) carefully before using the website bsrcommerce.com (the “Site”) operated by BSR Commerce LLC (“BSR Commerce,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you disagree, please discontinue use immediately.

1. Acceptance of Terms

By accessing or using our Site or Services, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms and our Privacy Policy. If you are using the Site or Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Services

BSR Commerce provides Amazon marketplace management services, including but not limited to: PPC advertising management, listing optimization, inventory management, creative content production, analytics and reporting, and marketplace expansion strategy. Specific services, deliverables, and fees for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) entered into between BSR Commerce and the client.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe on the intellectual property rights of BSR Commerce or any third party
  • Transmit any unsolicited or unauthorized advertising or promotional material
  • Attempt to gain unauthorized access to any part of the Site or its related systems
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site

4. Intellectual Property

All content on this Site — including text, graphics, logos, icons, images, and software — is the property of BSR Commerce LLC or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from this Site without our prior written permission. You may view and print a single copy of pages from the Site for your own personal, non-commercial use.

5. Confidentiality

In the course of providing Services, both parties may have access to confidential information of the other, including but not limited to: business strategies, client data, pricing, and account credentials. Each party agrees to maintain the confidentiality of such information and not to disclose it to any third party without prior written consent, except as required by law.

BSR Commerce will treat all access to your Amazon Seller Central account as strictly confidential and will only use such access to perform the Services outlined in your Service Agreement.

6. Disclaimers and Limitation of Liability

The Site and any information provided herein are offered on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Performance results referenced on this Site (including revenue growth figures, ACoS reductions, and other metrics) represent specific client outcomes and are not guarantees of future results. Amazon marketplace performance depends on many factors outside our control, including marketplace algorithm changes, competitive dynamics, product quality, and advertising budget.

To the maximum extent permitted by law, BSR Commerce shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or Services, even if BSR Commerce has been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify, defend, and hold harmless BSR Commerce LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

8. Third-Party Services and Links

The Site may contain links to third-party websites and services, including Amazon, Google, and others. These links are provided for your convenience and information only. BSR Commerce does not endorse, control, or assume responsibility for the content or privacy practices of any third-party sites. You access third-party sites at your own risk.

Our Services may integrate with third-party platforms (Amazon Seller Central, Amazon Advertising, Perpetua, Google Workspace, etc.). Your use of those platforms is governed by their respective terms of service, which are separate from these Terms.

9. Payment Terms

Payment terms, fee structures, and billing schedules for BSR Commerce Services are defined in the Service Agreement or Statement of Work signed by both parties. All fees are quoted in US Dollars unless otherwise specified. Late payments may be subject to interest charges as specified in the Service Agreement.

10. Termination

We reserve the right to terminate or suspend your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. The provisions of these Terms that by their nature should survive termination shall survive, including intellectual property ownership, disclaimers, and limitations of liability.

Termination of a Service Agreement is governed by the terms of that agreement. Upon termination of Services, BSR Commerce will return or destroy any confidential client information in its possession, and revoke its access to any client accounts, within the timeframe specified in the Service Agreement.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of such courts.

Prior to initiating any legal action, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of not less than 30 days.

12. Changes to Terms

BSR Commerce reserves the right to modify these Terms at any time. We will notify you of significant changes by updating the “Last updated” date at the top of this page. Your continued use of the Site after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
