Terms of Service

Please read these Terms of Service (“Terms”) carefully. They govern your access to and use of the website bsrcommerce.com (the “Site”), the BSR Nexus software platform (“Nexus” or the “Service”), and any services provided by BSR Commerce LLC (“BSR Commerce,” “we,” “us,” or “our”). By accessing the Site, subscribing to Nexus, or checking a box or clicking a button indicating your agreement, you agree to be bound by these Terms and our Privacy Policy and Refund & Auto-Renewal Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing the Site or subscribing to the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

2. Eligibility

The Service is offered to businesses and to individuals acting for business purposes (Amazon sellers). You must not be barred from using the Service under the laws of the United States or any applicable jurisdiction, and you must not be located in a country or region subject to comprehensive sanctions.

3. Description of Services

BSR Commerce provides (a) agency services for Amazon sellers (including PPC advertising management, listing optimization, inventory management, creative content, analytics, and marketplace expansion), defined for each engagement in a separate Service Agreement or Statement of Work; and (b) BSR Nexus, a self-serve software platform that presents analytics and reporting for your own Amazon business. Nexus is an informational tool. It does not provide financial, legal, tax, or investment advice, and it does not guarantee any particular sales, ranking, or business outcome.

Agency services are governed by a separate Service Agreement or Statement of Worksigned between you and BSR Commerce. The subscription, billing, free-trial, automatic-renewal, and no-refund terms in Sections 5–8 below apply to the BSR Nexus self-serve subscription only and do not apply to agency engagements. If you are an agency client, your Service Agreement controls how you are billed, canceled, and refunded.

4. Account Registration & Security

To use Nexus you must create an account. You are responsible for maintaining the confidentiality of your login credentials, for the accuracy of the information you provide, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

Sections 5–8 apply to the BSR Nexus self-serve subscription only. They do not govern agency engagements, which are covered by your separate Service Agreement / Statement of Work.

5. BSR Nexus Subscriptions & Billing

Nexus is offered on a recurring subscription basis. Current plans are $79 per month (billed monthly) or $790 per year (billed annually). Payments are processed by our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis for the plan you select, plus any applicable taxes, until you cancel. You are responsible for providing a valid payment method and keeping it current. We may change our prices; we will give you advance notice of a price change that will apply to a renewal as required by applicable law, and continued use after the change takes effect constitutes acceptance of the new price.

6. Free Trial

We may offer a 7-day free trial. A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription will begin automatically and your payment method will be charged the applicable plan price ($79/month, or $790/year if you selected the annual plan) at the end of the trial, and will renew as described below. We will send a reminder before your trial converts. You may cancel at any time during the trial through your billing portal to avoid being charged.

7. Automatic Renewal

Your subscription renews automatically. Monthly plans renew every month and annual plans renew every year, at the then-current price, and your payment method is charged at the start of each renewal term, until you cancel. This continues for the life of the subscription. You may cancel at any time (see Section 8). We will send renewal and, where required, price-change reminders. This disclosure is provided to you clearly and conspicuously before you subscribe and is a material term of these Terms.

8. No Refunds; Cancellation

All fees are non-refundable.You may cancel at any time through your account's billing portal (Stripe Customer Portal) or by contacting us. Cancellation stops future charges and takes effect at the end of your current paid period. You will keep access until the end of the period you have already paid for, and you will not receive a refund or credit for any unused time, including the unused portion of a prepaid annual term. We do not provide refunds for partial billing periods, unused subscriptions, or accounts you did not cancel in time. This policy applies except where a non-waivable law in your jurisdiction requires otherwise. Full details are in our Refund & Auto-Renewal Policy.

9. Acceptable Use

You agree not to, and not to permit others to:

• Copy, resell, sublicense, rent, or share your account or the Service with anyone else;
• Reverse engineer, decompile, scrape, or attempt to derive the source code of the Service;
• Circumvent usage limits, security, or access controls, or overload or disrupt the Service or its APIs;
• Use the Service unlawfully, to infringe others' rights, or to transmit malware; or
• Use the Service to build or benchmark a competing product.

10. Intellectual Property & License

The Service, Site, software, and all related content and marks are owned by BSR Commerce LLC or its licensors and are protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own internal business purposes during your subscription. No other rights are granted.

11. Your Data & Amazon Seller Central

You retain ownership of the data in your account. You grant us a license to process that data solely to provide and improve the Service. To power Nexus, you may connect your own Amazon Seller Central account on a read-onlybasis via Amazon's Selling Partner API (SP-API), and you authorize us to retrieve that data to provide the Service. We handle Amazon information in accordance with Amazon's Data Protection Policy and Acceptable Use Policy and our Privacy Policy. You may revoke our access at any time from Amazon Seller Central.

12. Third-Party Services

The Service integrates with third-party platforms, including Amazon Seller Central, Amazon Advertising, and Stripe. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, changes, or actions. We do not endorse or assume responsibility for any third-party site or service you access.

13. Confidentiality (Agency Engagements)

For agency engagements, both parties may access the other's confidential information (including business strategies, account data, and credentials) and agree to keep it confidential and use it only to perform the services, except as required by law. We treat access to your Amazon Seller Central account as strictly confidential.

14. Disclaimers of Warranties

THE SITE AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any data or metric shown is accurate or complete. Any results referenced are not guarantees; Amazon marketplace performance depends on many factors outside our control.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BSR COMMERCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You agree to indemnify, defend, and hold harmless BSR Commerce LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your data, or your violation of these Terms or any law or third-party right.

17. Dispute Resolution; Binding Arbitration & Class-Action Waiver

Please read this section carefully — it affects your legal rights. The parties will first try in good faith to resolve any dispute informally by contacting each other for at least 30 days. If the dispute is not resolved, you and BSR Commerce agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider under its rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and BSR Commerce waive the right to a jury trial and the right to participate in a class, collective, or representative action.

30-Day Right to Opt Out. You may opt out of this arbitration and class-waiver provision by emailing info@bsrcommerce.comwith your name and account email and the statement “I opt out of arbitration” within 30 days of first accepting these Terms. If you opt out, Section 19 (Governing Law & Venue) governs disputes.

18. International Users; EU/UK Acknowledgment

The Service is operated from the United States and is intended for business customers. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law. Where you are a consumer in the European Union or United Kingdom with a statutory right of withdrawal, by subscribing and requesting immediate access to the Service you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once access begins.

19. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Subject to Section 17, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their personal jurisdiction.

20. Changes to These Terms

We may modify these Terms. We will update the version and effective date above and, for material changes, provide reasonable notice (for example, by email or in-app). Your continued use of the Service after changes take effect constitutes acceptance. We keep prior versions on record.

21. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access for breach of these Terms, non-payment, or conduct harmful to us, other users, or third parties. Upon termination, your license ends and your access stops; no refund is owed. Provisions that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) survive termination.

22. Miscellaneous

These Terms, together with the Privacy Policy and Refund & Auto-Renewal Policy, are the entire agreement between you and BSR Commerce regarding the Service. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control.

Precedence for agency clients.If you have a separate signed Service Agreement or Statement of Work with BSR Commerce for agency services, that agreement controls with respect to those agency services to the extent it conflicts with these Terms — including its payment, cancellation, refund, term, and dispute-resolution provisions. The Nexus subscription terms (Sections 5–8) and the arbitration provision (Section 17) apply to your use of the Nexus self-serve subscription.
